Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Grailo (the “Service”), a non-custodial web interface for discovering, buying, selling, and opening packs of real graded trading cards that are vaulted and tokenized on CollectorCrypt. By accessing or using Grailo, you agree to these Terms. If you do not agree, do not use the Service.

Plain-language summary. Grailo is an interface, not a custodian. You connect your own wallet and sign your own transactions on the Solana blockchain. We never hold your funds, your cards, or your private keys, and we cannot reverse a transaction once you authorize it. The underlying cards are vaulted, graded, and redeemable through CollectorCrypt, not Grailo. Crypto and collectibles carry real risk — please read the Disclaimer.

1. About Grailo

Grailo is operated by Vestora Inc., a company incorporated in Ontario, Canada (“Grailo,” “we,” “us,” or “our”). Grailo provides a front-end interface that aggregates and presents publicly available, on-chain marketplace data from CollectorCrypt and helps you construct blockchain transactions that you sign with your own wallet. Grailo is an independent product and is not operated by, owned by, or formally affiliated with CollectorCrypt or LITCOIN.

Grailo is a non-custodial interface and aggregator. Specifically:

4. Your wallet & responsibility

You access the Service using a self-custodial blockchain wallet provided by a third party. You are solely responsible for your wallet, your private keys and seed phrases, and all activity that occurs through your wallet. We never request, receive, or store your private keys or seed phrase.

Blockchain transactions are generally irreversible. Once you authorize a transaction, neither Grailo nor anyone else can reverse, cancel, refund, or recover it. You are responsible for verifying all transaction details before signing, including the asset, price, fees, and counterparties.

5. Fees

Grailo charges a service fee (currently 0.25%) on completed sales facilitated through the interface. This fee is in addition to any fees charged by CollectorCrypt, the grading or vaulting parties, the blockchain network (gas), or your wallet provider.

6. Buying, selling & offers

Listings, offers, purchases, sales, and cancellations are executed on-chain through CollectorCrypt’s marketplace program. Grailo helps you build these transactions but does not guarantee that any transaction will succeed, settle, or settle at a particular price. Availability and pricing can change between the time information is displayed and the time a transaction is confirmed. You transact directly with other users and with on-chain programs; Grailo is not a party to those transactions and is not a broker, dealer, escrow agent, or counterparty.

7. Gacha / pack opening

The gacha (pack-opening) experience is operated by CollectorCrypt, not by Grailo. Grailo surfaces CollectorCrypt’s publicly available pack lineup, recent results, leaderboards, and similar information, and may link you to CollectorCrypt to open a pack. The mechanics, odds, pricing, and outcomes of any pack are determined and controlled entirely by CollectorCrypt and are subject to CollectorCrypt’s own terms. Pack opening involves randomized outcomes and the value you receive may be worth less than the amount you paid. You are responsible for ensuring that participation is lawful where you live.

8. LITCOIN staking

Grailo offers reduced service-fee tiers to users who link a wallet that holds staked LITCOIN, a third-party token. To determine your tier, you may be asked to link an external (Base/EVM) wallet and sign a message proving control of it; your staked balance is then read from LITCOIN’s API. LITCOIN is issued and operated by a third party, not by Grailo. We make no representation about LITCOIN, its value, its staking mechanics, or any associated buyback, burn, or revenue-sharing arrangement. Linking and staking are at your own risk, and fee tiers may change or be discontinued.

9. Third-party services

The Service relies on and links to third parties, including CollectorCrypt, LITCOIN, wallet providers, blockchain RPC providers, and content-delivery and font providers. We do not control and are not responsible for third-party services, their availability, their content, or their terms and policies. Your use of those services is governed by their own agreements.

The Grailo name, logo, interface, design, and original content are owned by Grailo and protected by applicable laws. “CollectorCrypt,” “LITCOIN,” card images, set names, grading marks, and other third-party names and materials are the property of their respective owners and are used for identification and informational purposes only. Nothing in the Service grants you any right in those marks.

Nothing on Grailo constitutes financial, investment, legal, tax, or other professional advice. Trading cards, NFTs, and tokens are speculative and volatile. You are solely responsible for your decisions and for any taxes arising from your activity. See the Disclaimer for more.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, error-free, or that information displayed is accurate, complete, or current.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRAILO AND ITS OPERATORS, CONTRIBUTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, CRYPTOCURRENCY, TOKENS, OR ASSETS, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL GRAILO SERVICE FEES YOU PAID IN THE 30 DAYS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless Grailo and its operators, contributors, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

16. Changes to the Service and these Terms

We may modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms from time to time; the “Last updated” date reflects the latest version. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

17. Governing law & disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the courts located in Ontario, Canada, unless otherwise required by applicable law.
